Terms of Service

These Terms of Service ("Terms") govern your use of Vertikal Agent products and services. By accessing or using our services, you agree to be bound by these Terms.

1. Using our services

You must follow any guidelines or policies associated with Vertikal Agent. Do not misuse our services—for example, avoid interfering with operations or accessing them using methods other than the interface we provide.

2. Customer responsibilities

  • Provide accurate integration credentials and appropriate permissions.
  • Comply with all applicable laws and regulations while using the services.
  • Ensure end users are informed about the use of AI agents in your workflows.

3. Fees & billing

Subscription fees and billing terms are defined in your sales order or service agreement. Invoices must be paid within the stated payment period.

4. Intellectual property

Vertikal Agent owns all rights, title, and interest in its services, including software, documentation, and enhancements. Customers retain rights to their data and supplied content.

5. Confidentiality

Both parties agree to protect confidential information disclosed under these Terms and use it only for purposes authorized by the other party.

6. Termination

Either party may terminate services for material breach if the breach remains uncured after notice. Upon termination, access to the services will be disabled and data returned or deleted according to our policies.

7. Limitation of liability

To the extent permitted by law, Vertikal Agent is not liable for indirect, incidental, or consequential damages. Our aggregate liability in any circumstance is limited to the fees paid in the 12 months preceding the claim.

8. SMS Communications

Vertikal Agent LLC provides automated missed call SMS notification services on behalf of businesses. Message frequency is one SMS per missed call. Message and data rates may apply. Text STOP to unsubscribe from messages. Text HELP for assistance. For support contact support@vertikalagent.com.

8. SMS Consent

Customers who call a business using Vertikal Agent's missed call notification service consent to receive a one-time automated SMS follow-up if their call goes unanswered. Reply STOP to unsubscribe. Reply HELP for assistance. Msg & data rates may apply.
